Terms of Use MY ARC TERMS OF USE Welcome to My ARC. The following Terms of Use (“Terms”) govern your use of My ARC, which is owned and operated by Airlines Reporting Corporation (ARC). Please read them carefully. ARC reserves the right to amend these Terms and policies without notice. These Terms apply to all individuals who access or use My ARC and to all visits to My ARC, both now and in the future. Use of My ARC equates to acceptance of these Terms. IF YOU ARE NOT AUTHORIZED TO ACCESS MY ARC, YOU ARE INSTRUCTED TO LOG OFF IMMEDIATELY As used in these Terms, “User” refers to the individual using or accessing My ARC and is referred to herein as “User,” “you” or “your.” “Administrator” refers to the My ARC Primary Administrator and/or other Administrators that perform administrative functions for ARC Participants, including without limitation, creation and revocation of Users and granting/revoking access to ARC Tools. For purposes of these Terms, ARC Participants include ARC Participating Carriers, ARC Accredited Entities and other entities authorized by ARC to use My ARC. The ARC Participant has an agreement with ARC which also governs your use of My ARC and ARC tools accessible via My ARC (referred to herein as “access agreement”). In the event of a conflict between these Terms and the access agreement, the access agreement shall control. ARC may update these Terms and/or publish additional rules, policies, procedures and other instructions concerning access to and use of My ARC. ARC shall make such updates available to User (e.g., via email or posted on ARC’s website). The use of My ARC after ARC has published such updates will be considered User’s acceptance of such updates. PLEASE BE ADVISED ARC MAY MONITOR YOUR USE OF AND ACCESS TO MY ARC TO ENSURE COMPLIANCE WITH THESE TERMS AND APPLICABLE RULES, POLICIES, DEADLINES AND INSTRUCTIONS. Anyone using My ARC expressly consents to such monitoring and is advised that if such monitoring reveals possible criminal activity or unauthorized use, ARC may suspend access to My ARC and/or provide the evidence of such monitoring to law enforcement officials.

ARC Accreditation Tool By clicking “Accept” below, I hereby represent and warrant that I am authorized to access and use ARC’s Accreditation Tool by the ARC-accredited Agent (“Agent”) that is a party to the fully executed Accreditation Tool Agreement and the Agent Reporting Agreement (ARA) which governs use of the Accreditation Tool. Furthermore, I acknowledge and accept the My ARC Terms of Use, which terms are incorporated herein and made part of these terms by reference. As used in these Terms of Service, a "User" refers to the Agent or the individual User or Administrator using or accessing this site and is referred to herein as "User," “I,” "you" or "your." “Administrator” refers to Agent’s My ARC Primary Administrator and/ or other Administrators that perform administrative functions in My ARC and the Accreditation Tool on behalf of the Agent. An Administrator is also a User of the Accreditation Tool.

Continued use of Accreditation Tool after ARC has provided posted such updates will be considered User’s acceptance of, and agreement to such updates. These Terms apply to individuals who access Accreditation Tool and all access to Accreditation Tool, both now and in the future. 1. ARC Accreditation Tool Service Airlines Reporting Corporation (ARC) has developed and owns the Accreditation Tool (“AT”) service whereby approved and eligible ARC-accredited agents may submit to ARC electronically certain accreditation applications and other forms, correspondence and documentation. The information and materials in this Accreditation Tool may not otherwise be copied, displayed, distributed, downloaded, licensed, modified, published, reposted, reproduced, reused, sold, transmitted, used to create a derivative work or otherwise used for public or commercial purposes, except as provided in your agreement(s) with ARC and in these Terms, without the express prior written permission of ARC. Information and instructions for using and accessing the Accreditation Tool are also set forth on ARC’s website, and are in addition to those instructions already provided to you. 2. Obligations Regarding Access To and Use of Accreditation Tool, Generally 2.1 The My ARC Primary Administrator will be the Primary Administrator for the Accreditation Tool unless another individual is designated in accordance with instructions provided by ARC. The My ARC Primary Administrator shall perform all administrative functions for Agent, including but not limited to creating and deleting Accreditation Tool users and administrators, who can also create other administrators and modify account profiles including bank accounts and locations) and enrolling affiliate and subsidiary accounts (Enrolled Accounts). 2.2. If You believe that any user names, user IDs, passwords or other unique identifiers used to access your Accreditation Tool account (collectively, “Security Devices”) have been lost or stolen, or that someone is using Security Devices without Agent’s permission and authorization, You shall notify ARC immediately at (502) 515-4773 or such other contact number or address that ARC shall publish on the ARC website for this purpose. All Security Devices are confidential and you agree to maintain the Security Devices as confidential. User should not disclose his/her Security Devices to anyone or share them with anyone. Disclosure of Security Devices to other persons may compromise control of access to Accreditation Tool and information in Accreditation Tool. Your Security Device will be your identity for purposes of gaining access to Accreditation Tool. You shall use your Security Device solely in accordance with the Agent Report Agreement and any instructions that ARC may provide in writing. Security Devices shall not be used by more than one individual. ARC reserves the right to maintain and, for any legitimate reason, review logs containing any inquiry details and other activities performed by the User in connection with the use of the Service. 2.3. Agent and Users represent and warrant that you will use the Accreditation Tool only for lawful purposes. Agent and Users agree and understand that use of the Accreditation Tool for any purpose that is unlawful or in any manner that could damage, disable, overburden or impair the operation of the ARC’s computer systems or networks or any other party's use of Accreditation Tool, is strictly prohibited. Agent and Users shall not use, or attempt to use any device, software, routine, or robotics that interferes with, or attempts to interfere with the normal operation of Accreditation Tool or that imposes an unreasonable load on ARC’s computer equipment and servers. 2.4. Agent and Users shall not attempt, by any means, to gain access to data or information that you are not legally entitled to access. You shall not modify, create derivatives of, decompile, or reverse engineer Accreditation Tool or take any action to interfere with ARC’s proprietary rights in the Accreditation Tool. You shall not use the Accreditation Tool to commit fraud, or to engage in communications that are disparaging, defamatory, harassing, obscene or otherwise inappropriate or contrary to law. 2.5. ARC has the right, to suspend or terminate the access of any User or Participant that violates these terms, the terms of the Accreditation Tool Agreement, or any other ARC Terms of Use applicable to the Accreditation Tool. ARC reserves the right to limit, suspend or terminate third party access to the Accreditation Tool. 2.6 Accreditation Tool is controlled and administered by ARC in the United States of America. You agree that all transactions that occur in the Accreditation Tool under this Agreement occur, or shall be deemed to occur, in the United States of America. ARC makes no representations that Accreditation Tool is appropriate or available for use at locations outside the United States. If you access Accreditation Tool from locations outside of the United States of America, you are responsible for compliance with all local laws. 2.7 You are required to advise your Administrator whenever there is a change to your user account profile. You agree to accept responsibility for the accuracy of your account profile. The information provided In the “name” “title” “department” “address” “phone” and “email” fields in your account profile are for account profile purposes and do not constitute ARC approval of a change in name, ownership, status, or location, etc. of any user or ARC Agent. ARC reserves the right to terminate profile accounts, remove or edit content, in its sole discretion. 3. Additional Terms applicable to Administrators:

No Use for Unlawful Purpose You are required to comply with all applicable laws in connection with your use of the Accreditation Tool and all requirements and obligations contained in the Terms and such other documents ARC may publish from time to time. As a condition of your access to and use of the Accreditation Tool, you agree that you will not use the Accreditation Tool or any data obtained from the Accreditation Tool for any purpose that is unlawful or prohibited by ARC’’s Agreements, Rules, Policies, and Instructions applicable to the Accreditation Tool. ARC will cooperate with U.S. government and law enforcement officials if any criminal activity is suspected. Violations may result in criminal and civil liability for you the User and/or Agent. 5. Termination or Suspension User’s failure to comply with these Terms and/or breach of any provision of the Accreditation Tool Subscription Agreement or these Terms may result in immediate suspension and/or termination of the user’s and/ or Agent’s access to Accreditation Tool. Violations of the law and/or breaches of these Terms may result in criminal and civil liability and revocation of access to Accreditation Tool. 6. Availability Subject to Interruption and Delay/Force Majeure Access to the Accreditation Tool may be interrupted at times for maintenance, system outages, and other circumstances beyond ARC’’s control (e.g., viruses, etc.). In addition, the availability of Accreditation Tool is subject to interruption and delay due to causes beyond ARC’’s reasonable control, including without limitation, delays by suppliers or vendors which are outside of ARC’’s control; acts of God, terrorism or a public enemy; acts of the United States or any state or political subdivision; fires, severe weather, floods, earthquakes, natural disasters, explosions or other catastrophes; and labor strikes or slowdowns. ARC shall not be liable to User or User’s company for any such interruption or delay. ARC further reserves the right to make alterations to on line access to Accreditation Tool from time to time. 7. Disclaimer While reasonable commercial efforts have been made to ensure the quality and accuracy of the Accreditation Tool, the Tool is provided by ARC on an “as is” and “as available” basis. Neither ARC, its officers, directors, shareholders, employees or representatives, or the like, warrant that the service will be uninterrupted or error-free. ARC reserves the right, in its sole discretion, to correct any errors or omissions in any portion of the Tool. ARC may make any other changes to the service in accordance with applicable agreements. While ARC will use reasonable effort to maintain the availability of the Tool there is no warranty or guarantee that it will be available at all times. YOU AGREE THAT THE ACCREDITATION TOOL AND ALL INFORMATION PROVIDED IN ACCREDITATION TOOL IS PROVIDED BY ARC ON AN “AS IS” AND “AS AVAILABLE” BASIS. ARC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OR USE OF ACCREDITATION TOOL OR THE INFORMATION, CONTENT, MATERIALS IN ACCREDITATION TOOL OR LINKS TO THIRD PARTY SITES AND THE CONTENT THEREON, (INCLUDING WITHOUT LIMITATION, WARRANTIES OF FITNESS, MERCHANTABILITY, NON-INFRINGEMENT, OR ANY IMPLIED WARRANTIES ARISING OUT OF THE COURSE OF PERFORMANCE, DEALING OR TRADE USAGE). TO THE FULL AND MAIXIMUM EXTENT PERMISSIBLE BY APPLICABLE LAW, ARC EXPRESSLY DISCLAIMS ALL WARRANTIES. YOU AGREE THAT ANY CONTENT, MATERIALS, INFORMATION OR SOFTWARE DOWNLOADED OR OTHERWISE OBTAINED THROUGH ACCREDITATION TOOL IS USED AT YOUR OWN DISCRETION AND RISK. ARC SHALL HAVE NO RESPONSIBILITY FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE USE OR DOWNLOAD OF ANY CONTENT, MATERIALS, INFORMATION OR SOFTWARE. 8. Limitation of Liability IN NO EVENT SHALL ARC (OR ANY PERSONS OR ENTITIES RELATED THERETO) BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES INCLUDING WITHOUT LIMITATION, LOST PROFITS OR REVENUES, COSTS OF REPLACEMENT GOODS, LOSS OR DAMAGE TO DATA, COMPUTER FAILURE OR MALFUNCTION CONNECTED WITH OR ARISING FROM OR OUT OF THE USE OR INABILITY TO USE ACCREDITATION TOOL IN ANY WAY, OR FROM THE USE OF ANY ACCREDITATION TOOL OR ANY ARC SERVICE, PROGRAM OR PRODUCTS, AND/OR LINKS TO THIRD-PARTY SITES AND CONTENT, OR FOR DAMAGES RESULTING FROM USE OF OR RELIANCE ON THE INFORMATION PRESENTED, EVEN IF ARC (OR ANY PERSONS OR ENTITIES RELATED THERETO) HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 9. Governing Law By using the Accreditation Tool, you agree that these Terms are subject to and shall be construed and enforced with the laws of the Commonwealth of Virginia without regard to its choice of law principles. This is the case regardless of whether you reside or use Accreditation Tool in Virginia or elsewhere. By using Accreditation Tool you agree that any and all disputes relating to, or arising from these Terms or your access to or use of Accreditation Tool shall be resolved in accordance with the terms of Agent Reporting Agreement. 10. Severability If any provision of these Terms is invalid or unenforceable under any statute or rule of law, the provision is to that extent to be deemed omitted and the remaining provisions of these Terms shall not be affected in any way. 11. No Waiver ARC’’s failure or delay to enforce any provision of these Terms or respond to any breach by you or others shall not operate or be construed as a waiver or prevent ARC from taking any permitted action to prevent further breaches. 12. Intellectual Property Rights: The contents of Accreditation Tool, including but not limited to information, images, text, documents, graphics, products, trademarks, trade names, icons, logos, sounds, software, screens images and web pages (“the Content”) are copyrighted materials owned or licensed by ARC or others as indicated. You agree and acknowledge that the Content is protected by copyright, trademark and other intellectual property laws, that these rights are valid and that your use of the Content shall be governed by applicable copyright, trademark and other intellectual property laws. You are not permitted to use any ARC trademarks or service marks. The Content may not otherwise be copied, displayed, distributed, downloaded, licensed, modified, published, reposted, reproduced, reused, sold, transmitted, used to create a derivative work or otherwise used for public or commercial purposes, without the express prior written permission of ARC or such third party which may own the Content. All rights not expressly granted in these Terms are reserved to ARC. No other rights or licenses whether express or implied, are conveyed or intended by the Terms.
